This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("you" or "End User") and UtilityAI Apps ("we," "our," "us," or "Licensor") governing your use of the applications or mobile application.
Please read this EULA carefully before downloading, installing, or using the Application.
By downloading, installing, accessing, or using the Application, you acknowledge that you have read, understood, and agreed to be bound by this EULA. If you do not agree to these terms, you should not download, install, or use the Application.
This EULA is an agreement between you and the publisher only and not with Apple Inc. ("Apple").
Apple is not responsible for the Application or its content, maintenance, support, warranties, or claims relating to the Application.
We, and not Apple, are solely responsible for the Application and the services and content made available through it.
Your use of the Application must also comply with Apple's applicable App Store terms and usage rules.
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Application on Apple-branded devices that you own or control, solely for your personal and lawful purposes and in accordance with the applicable App Store Usage Rules.
The Application is licensed, not sold, to you.
This license does not grant you any ownership rights in the Application, its software, content, trademarks, or other intellectual property.
You may access and use the Application only as expressly permitted by this EULA.
Except where expressly permitted by applicable law or by us in writing, you may not:
Any use outside the license granted by this EULA is prohibited.
All rights, title, and interest in and to the Application, including its software, source code, object code, design, graphics, interfaces, features, trademarks, logos, text, and other materials, are owned by or licensed to UtilityAI Apps.
The Application is protected by applicable copyright, trademark, intellectual property, and other laws.
Except for the limited license expressly granted under this EULA, no rights or licenses are transferred to you.
We may periodically provide updates, upgrades, bug fixes, security improvements, or new features for the Application.
Updates may modify, add, or remove certain features or functionality.
We may require you to install updates in order to continue using certain features or the Application.
We reserve the right to modify, suspend, or discontinue the Application or any part of it at any time, subject to applicable law.
The Application may provide access to or integrate with third-party services, websites, APIs, platforms, or content ("Third-Party Services").
Your use of Third-Party Services may be subject to additional terms and privacy policies provided by the applicable third parties.
We do not control and are not responsible for the availability, accuracy, security, content, or practices of Third-Party Services.
If the Application allows you to upload, create, store, process, or otherwise provide content, files, photographs, documents, or other materials ("User Content"), you remain responsible for such User Content.
You represent that you have the necessary rights and permissions to provide and use such content.
You grant us only the rights reasonably necessary to process User Content to provide the functionality requested through the Application, subject to our Privacy Policy and applicable law.
We do not claim ownership of your User Content unless expressly stated otherwise.
The Application may offer optional subscriptions, premium features, or other in-app purchases.
Where applicable, the price, subscription period, trial period, renewal terms, and other applicable conditions will be presented before you complete a purchase.
If you purchase a subscription through Apple's App Store, payment and subscription management are handled through your Apple account and Apple's in-app purchase system.
Subscriptions may automatically renew unless canceled in accordance with Apple's applicable subscription management procedures.
You are responsible for managing your subscriptions through your Apple account where applicable.
We may offer free trials, introductory offers, discounts, or other promotions from time to time.
Any applicable conditions, eligibility requirements, duration, and pricing will be presented when the offer is made available.
Unless otherwise stated, a subscription may automatically renew at the applicable price after a trial or promotional period ends.

By using the Application, you acknowledge that you have reviewed our Privacy Policy.
To the maximum extent permitted by applicable law, the Application is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by applicable law, UtilityAI Apps, its affiliates, officers, employees, licensors, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of, or inability to use, the Application.
This includes, where legally permitted, loss of data, revenue, profits, business opportunities, or other intangible losses.
Nothing in this EULA limits liability that cannot legally be limited or excluded under applicable law.
To the extent permitted by applicable law, you agree to indemnify and hold harmless UtilityAI Apps, its affiliates, officers, employees, licensors, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:

Your rights under this EULA will automatically terminate if you fail to comply with any applicable provision.
We may also suspend or terminate your license or access to the Application where reasonably necessary to protect the Application, our users, or our rights or to comply with legal requirements.
Upon termination, you must stop using the Application and delete it from your devices.
Provisions that by their nature should survive termination will continue to apply.
You agree to use the Application in compliance with all applicable laws, regulations, and third-party rights.
You may not use the Application for any unlawful, fraudulent, abusive, or unauthorized purpose.
This EULA is between you and the app publisher or developer and does not create any contractual relationship between you and Apple regarding the Application.
Apple and its subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of this EULA, Apple will have the right to enforce this EULA against you as a third-party beneficiary, where applicable.
Apple is not responsible for providing maintenance or support services for the Application.
Apple is not responsible for addressing claims relating to the Application, including product liability claims, consumer protection claims, intellectual property claims, or claims that the Application fails to comply with applicable legal or regulatory requirements.
In the event of a failure of the Application to conform to an applicable warranty, you may notify Apple in accordance with Apple's applicable policies, and Apple may refund the applicable purchase price. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Application.
You agree to comply with all applicable third-party terms when using the Application.
This EULA will be governed by and interpreted in accordance with the laws of India, without regard to its conflict-of-law principles, except where applicable law provides otherwise.
Any dispute arising from or relating to this EULA will be subject to the applicable courts and dispute-resolution procedures of India, subject to any mandatory rights available to consumers under applicable law.
We may update this EULA from time to time to reflect changes to the Application, our services, or applicable legal requirements.
When we make changes, we will update the "Last Updated" date at the beginning of this EULA.
Your continued use of the Application after the updated EULA becomes effective constitutes your acceptance of the revised terms, to the extent permitted by applicable law.
If any provision of this EULA is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
This EULA, together with our Privacy Policy and any additional terms presented within the Application, constitutes the agreement between you and UtilityAI Apps concerning your use of the Application, unless otherwise required by applicable law.
